Hewitt&Co
Terms and Conditions
These terms apply to all work supplied by Hewitt&Co (Caitlyn Shenoa Hewitt, ABN 37 768 939 952, trading as Hewitt&Co), including the related design, project management and delivery services.
1. Estimates and formal quotes
An estimate provides preliminary pricing based on the products, quantities and specifications stated and does not authorise supplier production. Once the designs and specifications are finalised, we issue a formal quote for written acceptance. If design work is required beforehand, written approval of the design scope and payment of the stated deposit authorise that design work only.
2. Validity
Estimates and formal quotes are valid for 7 days from their issue date. After that period, pricing and availability must be reconfirmed before acceptance.
3. Pricing and fees
Product pricing is calculated separately for each job, meaning each design and product combination. Freight is included in each job's unit price. Design and project management charges are shown separately. Each document shows the subtotal, GST and total payable.
4. Currency and exchange rate
Products and freight are quoted by our suppliers in US dollars and priced in Australian dollars using the exchange rate on the issue date of the estimate or formal quote, with a 3% exchange rate buffer. Prices will not change solely because of exchange rate movement during the validity period or after the formal quote is accepted. Expired pricing or a change to the order may require revised pricing for written approval.
5. Quantities
Hewitt&Co has no minimum job size or minimum order value. If a selected product has a supplier minimum quantity, we will advise you before the order is accepted and will not increase the quantity without your written approval.
6. Design fee
The design fee is based on estimated hours at the design level shown: None, Standard or High touch, and includes two rounds of revisions. Each round means one consolidated set of client feedback, and corrections to errors made by Hewitt&Co do not count towards those rounds. Additional revisions or changes to the agreed scope require approval of any additional fee before work starts.
7. Reorders
Unchanged reorders carry no design fee. We provide images or artwork identifying the design being reordered for your written approval before production. Any new design work or requested changes are priced separately and approved before that work starts.
8. Project management fee
Project management is charged once per estimate, based on the number of jobs. If the number of jobs changes, any revised fee must be approved in writing before the additional work starts.
9. Deposit and payment split
The estimate and formal quote show the deposit and final amounts for each job, together with the combined invoice totals. The standard starting split is 50/50 where a design fee applies and 0/100 where no design fee applies, but the split shown for each job takes precedence. Any deposit is credited against the total, and design work starts after payment unless otherwise agreed in writing.
10. Order confirmation and production
Written acceptance of the formal quote confirms the order, including where no deposit is required. Supplier production starts only after written approval of the final artwork or reorder reference and receipt of cleared payment of the full quoted amount.
11. Client supplied artwork
Please supply artwork in the format and quality we request. We will advise you of reproduction issues we identify, and any additional preparation or redraw fee requires your approval before work starts.
12. Artwork and approval
We provide artwork proofs or reorder reference images for written approval before production. Please check the design, wording, logos, dimensions, placement and stated colour references carefully, as changes after approval may add cost and delay. Approval does not release Hewitt&Co from responsibility for our own errors or a failure to follow the approved specifications.
13. Artwork permissions and trade marks
You confirm that you own, or have permission to reproduce, the artwork, logos, trade marks and other content you supply. That permission must allow Hewitt&Co and its suppliers to use the material to complete your order. We may request evidence of permission before proceeding.
14. Intellectual property
You retain ownership of artwork and other material you supply. Hewitt&Co retains ownership of original designs we create, which are created for production of the agreed merchandise order only. Editable files, fonts and third party assets are not included, and reproduction or other use of the design outside that order requires Hewitt&Co's written permission.
15. Client changes
Please request changes in writing. We will explain any effect on price and timing and obtain your approval of the revised price and timing before carrying out the change. Changes may not be possible once supplier production starts.
16. Production tolerance
Any supplier quantity tolerance must be stated for the relevant product and agreed in writing before production, including its effect on price. Otherwise, the agreed quantity applies and you will not be charged for unapproved additional units. This does not limit your rights if the goods fail to meet the agreed specifications or applicable law.
17. Colour and finish
Screen displays and digital proofs may differ slightly from the finished product, and reasonable batch variations can occur. Tell us before artwork approval if a specific colour match is essential so we can agree a colour reference or sample process and any associated cost. Variations must not materially depart from the agreed specifications.
18. Delivery timelines
Production and delivery timelines are estimates starting when the formal quote and artwork are approved and full payment is received, unless a specific delivery date is agreed in writing. Timing depends on supplier capacity, manufacture, freight and customs clearance, and we will advise you of significant delays we become aware of. Estimated dates do not override an expressly agreed delivery commitment or rights under applicable law.
19. Event dates
Tell us before accepting the formal quote if the merchandise is required for an event or deadline. We will confirm in writing whether we can commit to that date or provide an estimated arrival date only.
20. Freight and delivery
Freight is based on the supplier's quoted freight cost in US dollars, converted at the rate in clause 4, without markup. It is one total shared across all jobs and is included in each job's unit price. It covers delivery to the address or addresses agreed in the estimate or formal quote. Additional destinations, urgent freight or changes to delivery requirements must be priced and approved before additional costs are committed.
21. Freight reconciliation
If the supplier's final freight charge differs from the freight in your estimate or formal quote, we reconcile to the final charge, with savings credited and increases requiring your written approval before additional costs are committed. If reconciliation occurs after the Final invoice is paid, we issue an adjustment invoice or credit as applicable.
22. Payment
We issue a Deposit invoice for any deposit due and a Final invoice for the remaining amount. Where the deposit is $0, the full amount is billed on the Final invoice. The Final invoice must be paid in cleared funds before supplier production starts.
23. Client cancellations
Please request cancellation in writing, and we will stop further work and seek to cancel supplier commitments where reasonably possible. Subject to your rights under applicable law, you must pay for work reasonably completed and reasonable costs already incurred or committed that cannot be recovered, after deducting savings, refunds and recoveries. We will provide a breakdown, apply payments already received and refund any excess.
24. Liability and damaged goods
Please notify Hewitt&Co promptly if goods are lost in transit, arrive damaged or do not match the approved specifications, and provide photographs where possible. We will investigate with the supplier or carrier and provide any remedy required under the agreement or applicable law.
25. Defects and returns
Please contact Hewitt&Co if a product is defective, retaining the goods and packaging where reasonably possible so the issue can be assessed. We will provide any repair, replacement, refund or other remedy required by applicable law, including reasonable return costs where required. Custom made goods are not accepted for change of mind returns, but this does not affect your rights for faulty or incorrectly supplied goods.
26. Consumer rights
Nothing in these terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
27. GST
All prices are in Australian dollars. GST of 10% is added to taxable amounts and shown separately, together with the GST inclusive total.
28. Written communication
Approvals, acceptances, changes and cancellations can be given by email to merch@hewittandco.com.au or by signing the relevant document. Approval must come from a person authorised to act for your organisation.
29. Agreed terms
The accepted formal quote, these terms and any agreed written variations form the agreement for the merchandise order. Any preliminary design work is governed by the approved design scope and these terms. Later changes to the agreement require both parties' written approval.
